- Your board data belongs to you. We process it only to provide the service and never use it to train AI models.
- Swiss law applies. Place of jurisdiction is Zurich.
1.Scope
1.1 These Terms and Conditions (“Terms”) govern the use of Konsaro, a platform for board and executive meetings. Konsaro is provided by Software Vision AG, Löwenstrasse 11, 8001 Zürich, Switzerland (referred to as “we” or “us”).
1.2 Konsaro is offered exclusively to companies and other organisations for business purposes. We refer to the organisation that enters into the agreement as the “Customer”. Konsaro is not available to private individuals for personal use.
1.3 If documents conflict, the following order applies: (1) the Order Form, (2) the Data Processing Agreement, (3) these Terms. The Customer’s own general terms do not apply, even if we do not expressly object to them.
2.Definitions
Service: the Konsaro platform, its apps and related support.
Customer: the organisation that has entered into an agreement with us.
Authorised Users: the people the Customer gives access to, such as directors, board office staff, executives and guests.
Customer Data: all content and personal data that the Customer or its Authorised Users upload to or create in the Service.
Order Form: the online order, offer or order confirmation that sets out the plan, scope and fees.
Billing Period: one month for monthly plans, one year for annual plans.
3.The Service
3.1 We provide the Service as described in the Order Form and the current product documentation.
3.2 We may develop the Service further, provided this does not materially reduce the agreed functionality.
3.3 We operate the Service with care and aim for high availability. Guaranteed service levels (SLA) apply only where they are agreed in the Order Form, for example in the Enterprise plan. Where possible, we announce planned maintenance in advance.
4.Accounts and access
4.1 The Customer appoints administrators who manage Authorised Users and their access rights.
4.2 The Customer keeps login details confidential and is responsible for the actions of its Authorised Users.
4.3 Where single sign-on (SSO) is used, the Customer’s identity provider and its security rules apply.
4.4 The Customer informs us without delay of any suspected unauthorised access.
5.Acceptable use
The Customer must not, and ensures that its Authorised Users do not:
- use the Service unlawfully or upload unlawful content;
- attempt to bypass security measures or test them without our written consent;
- reverse engineer the Service, except where mandatory law permits it;
- resell the Service or make it available to third parties who are not Authorised Users.
6.Customer Data
6.1 Customer Data remains the property of the Customer.
6.2 We process Customer Data only to provide the Service and on the Customer’s instructions, as set out in the Data Processing Agreement.
6.3 We do not use Customer Data to train AI models.
6.4 Customer Data is stored in data centres in Switzerland (Zurich). The application that processes it runs on servers in Germany (EU). The sub-processors we use, and where they are located, are listed on the Sub-processors page.
7.AI features
7.1 Konsaro offers optional AI features, such as minutes drafting, translation and rephrasing. They are processed by Anthropic Claude models through OpenRouter's EU endpoint, outside Switzerland, with zero data retention at the AI provider. The Customer's administrators can switch AI features off for their organisation.
7.2 AI output may contain errors. The Customer remains responsible for reviewing it and for any decisions based on it.
8.Fees and payment
8.1 Fees are set out in the Order Form and on our pricing page. All prices are in Swiss francs (CHF) and exclude VAT.
8.2 Fees are billed in advance for each Billing Period, monthly or annually depending on the plan.
8.3 Invoices are due within 30 days of the invoice date. If payment is overdue, we may suspend access after a written reminder.
9.Term and termination
9.1 Subscriptions renew automatically for a further Billing Period: monthly plans every month, annual plans every year.
9.2 The Customer may cancel at any time. Cancellation takes effect at the end of the current Billing Period. Fees already paid for that period are not refunded.
9.3 We may terminate the agreement with at least 30 days’ notice to the end of a Billing Period.
9.4 Either party may terminate for good cause with immediate effect.
9.5 After the agreement ends, Customer Data remains available for export for 14 days. We then delete it. Backups are deleted automatically within a further 14 days, unless the law requires us to retain data.
10.Confidentiality
Both parties keep confidential all information received from the other party that is marked as confidential or is clearly confidential by nature. This obligation continues after the agreement ends for as long as the information remains confidential.
11.Warranty and liability
11.1 We provide the Service with due care and in accordance with the documentation.
11.2 We are liable without limitation for damage caused intentionally or through gross negligence. To the extent permitted by law, liability for slight negligence is limited to the fees paid by the Customer in the twelve months before the event giving rise to the claim.
11.3 To the extent permitted by law, liability for indirect or consequential damage and lost profit is excluded. Liability for personal injury and under mandatory product liability law remains unaffected.
12.Intellectual property
All rights in the Service remain with Software Vision AG. For the term of the agreement, the Customer receives a non-exclusive, non-transferable right to use the Service. We may use feedback to improve the Service.
13.Changes to these Terms
We may update these Terms. We announce material changes at least 30 days in advance. If the Customer does not agree, it may cancel the agreement effective on the date the change takes effect.
14.Governing law, jurisdiction and language
14.1 These Terms are governed by Swiss law, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
14.2 The exclusive place of jurisdiction is Zurich, Switzerland.
14.3 These Terms are available in German and English. If the versions differ, the German version prevails.
